Undivided Share of Land (UDS): The Half of Your Flat You Own Without Seeing

Short version: When you buy a flat, you buy two things: the flat itself and a proportionate share of the land under the whole project. That land share is called the undivided share of land, or UDS. You don’t own a fenced patch of ground. You own a percentage of the whole plot, jointly with every other owner. RERA requires it to be conveyed to you with the flat, it’s written in your sale deed, and it matters most when you sell or when the building is redeveloped.

Brochures talk about carpet area and super built-up area. Almost none talks about UDS. Yet it’s the part of your purchase that stays when the building ages, so it deserves a line in your checklist.

What is the undivided share of land?

The UDS is your portion of the land on which the apartment complex stands, held in common with all the other owners and not divided into a particular piece. It goes with your flat: you can’t sell the flat without it, and you can’t sell the UDS on its own as a separate plot.

How is UDS calculated?

The usual method is to divide your flat’s area by the total area of all flats, then apply that percentage to the project’s land. Take an illustration (numbers are made up):

Item

Figure

Project land

40,000 sq ft

Total area of all flats (the basis used)

160,000 sq ft

Your flat’s area

1,200 sq ft

Your percentage

1,200 ÷ 160,000 = 0.75%

Your UDS

0.75% × 40,000 = 300 sq ft

A 1,600 sq ft flat in the same project would have 1% and 400 sq ft. The percentage is the legal substance, and the square footage is just a way of expressing it.

Which area is used? Practice has varied between projects. Under the Karnataka Apartment (Ownership and Management) Act, 2026, the proportion is fixed: the ratio of the apartment’s private area to the total private area of all apartments. The Act received the Governor’s assent on 9 October 2026 and comes into force on a date to be notified. It defines “private area” and distinguishes it from super built-up area, so check the definition once it’s in force. Two identical flats in the same project should end up with the same share.

What does RERA say about UDS?

RERA doesn’t actually use the term “UDS”. Its wording is the undivided proportionate title in the common areas, and that’s where your land share comes in:

  • Common areas include the land. Section 2(n) defines common areas to include the entire land for the project, along with staircases, lifts, terraces, parks and other shared facilities.

  • It comes with your flat. Under Sections 11(4)(f) and 17(1), the promoter must execute a registered conveyance deed of your apartment along with the undivided proportionate title in the common areas.

  • Common areas go to the association. Unless a local law says otherwise, the title in the common areas is conveyed to the association within three months of the occupancy certificate.

  • The agreement follows a model form. Each state’s RERA rules prescribe a model agreement for sale. Check the version your state uses, and read what it says about your share.

  • Price is on carpet area. RERA prices a flat on its carpet area. The land share is separate: it’s conveyed along with the flat, not priced per sq ft of land on the brochure.

So when a builder says “RERA requires UDS disclosure,” what’s really true is that RERA requires the land share to be conveyed with the flat, and a careful agreement and deed will state it. Check that yours does.

Where is the UDS recorded?

In your sale deed. The apartment, together with its UDS, is what’s conveyed to you. Look for a schedule that describes the project land, your unit number, your area and your UDS. Under the Karnataka Bill, the deed also has to describe the apartment’s location, its private area and carpet area, and the proportion of your undivided right in the land and common areas.

If the deed is silent or vague about the UDS, ask why before you sign.

Why do Bengaluru builders use two documents?

Many Bengaluru under-construction flats are sold through two documents:

  • A sale agreement and sale deed for the UDS, which conveys the land share and attracts stamp duty and registration.

  • A construction agreement, under which the builder builds your flat. GST applies to this part.

A 2025 Karnataka High Court ruling on a deed that conveyed only an undivided land share held that stamp duty depends on what the deed says. It also affirmed that land and buildings can be separately owned. The practical lesson is to understand what each paper conveys. Tax authorities have also sometimes questioned values shown only for the land component, so keep all payment records and ask your CA how stamp duty value and tax rules apply to your structure.

Why does UDS matter at redevelopment?

When an old building is redeveloped, what each owner gets traces back to their share in the land. Under the Karnataka Act (once in force):

  • Redevelopment needs written consent of owners of 75% of the apartments in the whole project, plus approval by the Second Appellate Authority.

  • Owners who don’t want to take part are entitled to compensation based on the value of their share in the land. The Bill sets it at no less than twice the market value, after depreciation, assessed by a registered valuer.

  • Any extra development rights or built-up area from planning changes belong to all owners together and are distributed according to each apartment’s private area.

  • The association manages the land and common areas but doesn’t own them. They stay with the owners, in proportion to their share.

Does UDS decide your vote, your maintenance or your use of common areas?

Not quite, though this is often claimed.

Question

What’s true (Karnataka)

Does a bigger UDS give more votes?

No. Under the Bill, a person has one vote however many apartments they own. The 75% redevelopment threshold counts apartments, not UDS.

Does UDS decide maintenance charges?

The old Act tied common expenses to the undivided interest. The Bill text I read refers to area, specifically super built-up area. Check the final Act and your bye-laws.

Does UDS give a bigger right to use common areas?

No. Every owner can use common areas. UDS shows your ownership proportion.

Can common parking be allotted privately?

Under the Bill, no: common parking can’t become private merely by demarcation or allotment.

What’s the difference between “undivided interest” and “undivided share”?

The Karnataka Bill distinguishes the two. In the earlier draft’s wording, the undivided interest covers your rights of use, governance and maintenance in the common areas, and the undivided share is the notional ownership proportion. Confirm the precise wording in the final Act.

Does a higher UDS mean a better investment?

Not automatically. Two flats can have different UDS across projects simply because the land is larger or the project is less dense. A handy rough indicator is land per sq ft of flat: divide the UDS by the flat’s area (300 ÷ 1,200 = 0.25 in our example). A higher figure usually means a less dense project. But value depends mainly on location, the builder, the building’s condition and the redevelopment potential of the site. Land often holds value better than an ageing building, but that’s a tendency, not a guarantee, and you only realise it on sale or redevelopment.

Common misconceptions

  • “My UDS is a plot I can build on.” No. It’s an undivided percentage, and you can’t demand a partition.

  • “A bigger UDS always means a better flat.” See above.

  • “Parking is separate property.” Under the Karnataka Bill, private parking can be transferred only to another owner in the same project.

How do I check the UDS before I buy?

  1. Ask for your UDS in writing, in sq ft and as a percentage.

  2. Get the project’s total land area and compare it with the title documents and the RERA registration.

  3. Get the total area basis used, and check the maths: your area ÷ total area × land area should equal your UDS.

  4. Compare flats in the same project. Similar flats should carry similar shares.

  5. Read the draft agreement, sale deed and construction agreement to see what each conveys, and confirm the deed mentions the undivided proportionate title.

  6. Check the title and approvals, including the land use zone and RERA registration.

  7. Keep your registered deed safe. It’s what redevelopment will rest on.

Frequently asked questions

What is undivided share of land in an apartment?
Your proportionate ownership of the land under the project, held jointly with the other owners and recorded as a share in your sale deed.

How is UDS calculated?
In proportion to your flat’s area against the total of all flats. Under the Karnataka Act it’s the ratio of your private area to the total private area of all apartments.

What does RERA say about UDS?
RERA doesn’t use the term, but it requires the promoter to convey the undivided proportionate title in the common areas, which include the project land, along with your apartment.

Where is UDS mentioned?
In the sale deed, usually in a schedule describing your unit and your undivided share.

Does a bigger UDS give me more votes?
Not under the Karnataka Bill. A person has one vote regardless of how many apartments they own.

Can I sell my UDS separately from my flat?
No. It goes with the flat.

Why do Bengaluru flats have a sale agreement and a construction agreement?
Builders commonly split a purchase into a sale of the land share (with stamp duty) and a construction contract (with GST). Check what each document conveys.

Does a higher UDS mean a higher resale value?
Not automatically. Location, the project and its condition matter too.
